Out-of-pocket expenses refer to the amounts actually paid by the Consultant in cash in connection with the provision of the Services, including, but not limited to, the (i) reasonable fees and disbursements (including subscription fees) of any independent auditor, outside legal counsel, consultant, or investment banker.
